Services are provided based on mutually agreed scope of work, timelines, and deliverables discussed during onboarding.

Communication and task management will take place through approved channels such as email, project boards, or CRM tools.

Any modification to project scope must be confirmed in writing.

We reserve the right to refuse service for any reason at our discretion.

4. Payments and Pricing

Pricing will be clearly mentioned in our proposals, plans, or invoices before project commencement.

Payments must be made in advance or as per agreed milestones.

We use secure third-party payment processors for all transactions.

Any late or delayed payment may lead to service interruption or termination.

All fees are non-refundable, except in cases of verified service failure on our part.

5. Trial Period

We may offer a 1-week free trial for select services.

Trials are limited to defined tasks or hours.

Continued use after the trial constitutes acceptance of paid engagement terms.

We reserve the right to withdraw or modify trial offers at any time.

6. Confidentiality

Both parties agree to keep all project-related data, documents, and communication strictly confidential.

We will not share, disclose, or use your business data for any purpose other than service execution.

7. Data Security & Privacy

Your data is handled according to our Privacy Policy and in compliance with India’s IT Act, 2000 and Data Protection Rules, 2011.

By using our services, you consent to the collection and use of information as described in our Privacy Policy.

8. Client Responsibilities

Provide timely access to necessary tools, credentials, and information.

Respond to communication within reasonable timeframes.

Review and approve deliverables promptly to avoid delays.

Maintain compliance with laws applicable to your business operations.

9. Intellectual Property

All content, materials, systems, and designs created by Guide Digitally remain our intellectual property until full payment is received.

Upon payment, ownership of final deliverables is transferred to the client, excluding any pre-existing frameworks or tools used by us.

You agree not to copy, resell, or redistribute any part of our proprietary systems or materials.

10. Third-Party Tools and Integrations

Our services may involve the use of third-party tools (e.g., Hubstaff, Zoho, Canva, or CRMs).

We are not liable for any data loss, service outage, or security breach caused by these third parties.

Clients must comply with the respective terms of those platforms.

11. Limitation of Liability

Guide Digitally shall not be liable for any indirect, incidental, or consequential damages, loss of profits, or data arising from the use or inability to use our services.

Our total liability shall not exceed the total amount paid by the client for the specific service in question.

12. Termination

Either party may terminate the engagement with a 7-day written notice.

We reserve the right to suspend or terminate services immediately if:

• Payments are overdue
• The client violates these Terms
• The engagement involves unethical or unlawful activity
• Upon termination, all outstanding dues must be cleared immediately.

13. Refund Policy

As our services involve dedicated time and expertise, refunds are not applicable once work has commenced.

Exceptions may apply only in cases where no work has been initiated and the client has notified us within 24 hours of payment.

14. Disclaimer

All services are provided “as is” and “as available.”

We do not guarantee specific outcomes such as revenue growth, client acquisition, or rankings unless expressly stated in a written agreement.

15. Governing Law & Jurisdiction

These Terms shall be governed by and construed under the laws of India.

Any disputes shall be subject to the exclusive jurisdiction of the courts located in Noida, Uttar Pradesh.
